New final date for application for conversion of convertible debentures in Song Networks Holding AB (publ)

The Board of Directors of Song Networks Holding AB (publ) sets a new final date for application for conversion of convertible debentures 2002/2007 and exercise of warrants 2001/2004:2.

On September 28, 2004, TDC A/S (”TDC”) announced a public offer to all shareholders and holders of convertible debentures in Song Networks Holding AB (”Song”). On November 1, 2004, TDC announced that TDC had reached an ownership level corresponding to approximately 97.2 per cent of the shares in Song on a fully diluted basis. At the same time TDC made public that TDC intends to, according to the Swedish Companies Act, initiate compulsory acquisition proceedings of the remaining shares in Song. Such compulsory acquisition proceedings do not include convertible debentures 2002/2007 (”convertibles”) or warrants 2001/2004:2 (”warrants”) issued by Song. According to the terms and conditions for convertibles and warrants Song shall – after publication of an intention to invoke compulsory acquisition proceedings – determine a new final date for application for conversion of convertibles and exercise of warrants. The Board of Directors of Song has decided that the final date for application for conversion of convertibles and exercise of warrants shall be December 31, 2004. Application for conversion of convertibles or exercise of warrants may not be made after the expiration date. Holders of convertibles are entitled to demand immediate payment of the principal and accrued interest of the convertibles up until December 31, 2004. In case the holder of convertibles do not make such demand at the latest December 31, 2004, the debt obligation remains (without right to conversion) and matures on December 30, 2007.
