NATIONAL BOARD OF PATENTS AND REGISTRATION OF FINLAND AUTHORISES MERGER OF TECNOMEN CORPORATION INTO TECNOMEN HOLDING CORPORATION The Annual General Meeting of Tecnomen Corp. and the Extraordinary General Meeting of Tecnomen Holding Corp. hold on 15 May 2001 approved the merger plan signed on 5 of April 2001 by the Board of Directors of Tecnomen Corp. and Tecnomen Holding Corp. According to the merger plan Tecnomen Corp. will merge into Tecnomen Holding Corp. so that all the assets and liabilities of Tecnomen Corp. will be transferred without liquidation proceeding to Tecnomen Holding Corp. and the shareholders of Tecnomen Corp. will receive shares of Tecnomen Holding Corp. as merger consideration. National Board of Patents and Registration of Finland has on 1 October 2001 authorised the implementation of the merger of Tecnomen Corp. into Tecnomen Holding Corp. According to the merger plan the implementation of the merger will be registered approximately on 31 December 2001.
