MERGER OF KROCUS COMMUNICATIONS WITH TECNOMEN

Tecnomen Corporation has acquired on 23 of April 2003 the entire share
stock of Krocus Communications Oy, which develops messaging system
technology.

The Board of Directors of the companies signed on 24 of June 2003 the
merger plan. According to the plan, Krocus Communications Oy, with its
assets and liabilities, will be merged with its parent company
Tecnomen Corporation without merger consideration.

According to the plan the merger has been entered into the trade
register on 30 November 2003.
