TeliaSonera’s Annual General Meeting, April 2, 2014
Today’s Annual General Meeting of TeliaSonera AB (publ) decided the following:
The Annual General Meeting approved the income statement and balance sheet for 2013.
The Annual General Meeting decided upon a dividend to shareholders of SEK 3.00 per share, and April 7, 2014 was decided as the record date for the dividend. With this record date, it is estimated that the dividend will be sent out from Euroclear on April 10, 2014.
The Annual General Meeting discharged the Board of Directors from liability for the financial year 2013. The Annual General Meeting discharged Johan Dennelind and Per-Arne Blomquist in their capacity as CEOs from liability for the financial year 2013. The Annual General Meeting did not discharge Lars Nyberg in his capacity as CEO from liability for the financial year 2013.
Ordinary members of the Board Marie Ehrling, Olli-Pekka Kallasvuo, Mats Jansson, Mikko Kosonen, Nina Linander, Martin Lorentzon, Per-Arne Sandström and Kersti Strandqvist were re-elected. Marie Ehrling was elected as Chair of the Board and Olli-Pekka Kallasvuo was elected Vice-Chair of the Board.
The following Board remuneration was approved for the Board of Directors: to the Chair, SEK 1,240,000 (1,200,000) and 750,000 to the Vice-Chair (unchanged) and to all other board members that not are employed by the company SEK 470,000 each (450,000). In addition, the following remuneration was approved for work in Board Committees: Remuneration to the Chair of the Board's Audit Committee of SEK 150,000 (unchanged) and of SEK 100,000 (unchanged) to each of the other members of the Audit Committee, remuneration to the Chair of the Sustainability and Ethics Committee of SEK 150,000 (unchanged) and of SEK 100,000 (unchanged) to each of the other members of the Sustainability and Ethics Committee and remuneration to the Chair of the Board’s Remuneration Committee with SEK 65,000 (unchanged) and of SEK 45,000 (unchanged) to each of the other members of the Remuneration Committee, were approved.
It was decided that the number of auditors shall be one and Deloitte AB was elected until the end of the Annual General Meeting 2015. Remuneration to the auditors shall be paid as per invoice.
Magnus Skåninger (Swedish State), Kari Järvinen (Finnish State via Solidium Oy), Jan Andersson (Swedbank Robur Fonder), Per Frennberg (Alecta) and Marie Ehrling (Chair of the Board of Directors) were re-elected to the Nomination Committee.
The Annual General Meeting decided to approve the proposal from the Board of Directors regarding guidelines for remuneration to the executive management.
The Annual General Meeting authorized the Board of Directors to carry out acquisitions of own shares at one or more occasions prior to the Annual General Meeting 2015 on Nasdaq OMX Stockholm and/or Nasdaq OMX Helsinki or in accordance with an offer to acquire shares directed to all shareholders, whereby a maximum of 10 percent of all shares in the company may be acquired.
The Annual General Meeting decided to implement a long-term incentive program 2014/2017 and hedging arrangements for the program. The program may include approximately 200 key persons.
