Teollisuuden Voima Oyj issues a EUR 500 million bond and announces a tender offer for its Eurobond maturing in 2016

Teollisuuden Voima Oyj (TVO) will issue a EUR 500 million seven-year bond with an annual coupon of 2.500 per cent. The bond will be issued under the Company’s EMTN programme and listing on the Luxembourg Stock Exchange will be applied.

TVO also announced today that it has made an invitation to holders of its outstanding EUR 750 million 6.00 per cent Notes due 27 June 2016 to tender their Notes for purchase by TVO for cash. TVO pro-poses to accept Notes for purchase up to a maximum aggregate principal amount of the new bond issue announced today. The tender offer is made on the terms, and subject to the conditions, set out in the Tender Offer Memorandum dated 4 March 2014.

The proceeds of the bond issue will be used for general corporate purposes including financing the tender offer.

Barclays Bank PLC, Deutsche Bank AG, London Branch, Nordea Markets and SEB acted as Joint Bookrunners for the new bond issue. Nordea Markets and SEB are acting as Joint Dealer Managers in the tender offer.
