Amendment of Company's Bylaws

BOARD ACTION NOTIFICATION Please be advised that the following action was taken by the Board of Directors of The Dow Chemical Company on December 17, 2002: ·The Bylaws of the Company were amended, effective immediately, to provide that the Executive Committee of the Board of Directors "shall consist of the officer who serves as the chief executive officer pursuant to Section 5.17 and not fewer than two other Directors."
