ANNUAL GENERAL MEETING OF TIETOENATOR CORPORATION The Annual General Meeting of TietoEnator Corporation was held on 29 March 2000. The Meeting confirmed the financial statements for 1999 and discharged the company's officers from liability. The Meeting approved a dividend of EUR 0.49 per share. The record date for dividend payment is 3 April 2000 and the dividend will be paid on 14 April 2000. The Meeting confirmed that there should be eight members on the Board of Directors. Professor Olli Martikainen (Helsinki University of Technology, Telecom Architectures) was elected in place of President and CEO Aulis Salin (Sonera). The other members are present Chairman of the Board Olof Lund, President and CEO Bengt Braun (Bonnier Group), Director Thomas Falk (Federation of Swedish Industries), Director Kalevi Kontinen (Nokia), President and CEO Matti Lehti (TietoEnator), Executive Vice President Kaj- Erik Relander (Sonera) and Executive Vice President Anders Ullberg (SSAB). The personnel elected two ordinary representatives and their personal deputies to the Board of Directors. Tilintarkastajien Oy - Ernst & Young and Tomi Englund MSc (Econ.), LLM, APA were appointed to continue as the company's auditors. The former's personal deputy continues to be Risto Järvinen Lic. Econ., APA and the latter's personal deputy is Kristian Hallbäck MSc (Econ.) APA. The Meeting considered the Board's proposals to the Annual General Meeting (Stock Exchange Bulletin 18 February 2000) and took the following decisions: It was decided to issue bonds with warrants to a total value of EUR 1,800,000 or 16,200,000 Swedish krona. The bonds will be offered, disapplying shareholders' pre-emptive subscription rights, to personnel of TietoEnator Corporation and its majority-owned companies and to a wholly owned subsidiary. The bond will have a maturity of 3 years and carry 4 % interest. The 3,700,000 warrants attached to the bond entitle their holders to one share per warrant. The share subscription price will be the trading volume weighted average share price in public trading between 3 April and 28 April 2000. The Board was authorized to purchase the company's own shares in an amount not exceeding 5 % of the share capital or the total number of votes carried by the shares. The authorization is valid until 29 March 2001. The company's own shares may be purchased if necessary in order to develop the company's capital structure. They will be purchased on the Helsinki Exchanges. The Board was authorized to issue new shares, share options and a convertible bond loan for one year from the Meeting, i.e. until 29 March 2001. Based on this authorization the share capital may be raised by at most EUR 12,952,974.836. Subscription rights will be disapplied for the purpose of safeguarding the company's ability to develop its operations, both in the domestic and in the international markets, and to create personnel incentive schemes for new employees of the company. The Board was authorized for a period of one year from 29 March 2000 to donate amounts totalling at most EUR 70,000 to good causes. The Meeting decided to sell at most 32,520 shares on behalf of those shareholders who have not transferred them to the book-entry system and authorized the Board to take all requisite measures to implement this decision.
