TORM announces termination of secondary public offering of its Class A common shares by a Selling Shareholder
TORM plc (the “Company” or “TORM”) (Nasdaq: TRMD or TRMD A) today announced that OCM Njord Holdings S.à r.l. (the "Selling Shareholder"), a company indirectly owned by funds managed by Oaktree Capital Management, L.P. and its affiliates, has terminated the secondary public offering of 5,000,000 (five million) of the Company’s Class A common shares that was previously announced on 29 March 2023. The termination results from an assessment by the Selling Shareholder that current market conditions are not conducive to this offering on terms that would be in the best interests of the Selling Shareholder. As a result of such termination, no Class A common shares of the Company will be sold pursuant to the offering.
The offering was being made pursuant to an effective shelf registration statement on Form F-3 declared effective by the U.S. Securities and Exchange Commission on 22 December 2021 and a related prospectus supplement that was filed on 29 March 2023.
