Information regarding termination of agreements on the exercise of voting rights
The agreement on exercise of voting rights entered in September 2021 between Truecaller's two founders Nami Zarringhalam and Alan Mamedi, and William Gordon, in his capacity as chairman of Truecaller, has been terminated by the parties. The termination of the agreement requires that both Nami Zarringhalam and Alan Mamedi notifies the Swedish Financial Supervisory Authority that they now vote on behalf of their own shareholding but does not entail that any purchase or sale of shares has taken place.
In September 2021, the two founders of Truecaller, Nami Zarringhalam and Alan Mamedi, and William Gordon in his capacity as board chair of Truecaller, entered an agreement on the exercise of voting rights. Under the voting agreement, Nami Zarringhalam agreed to vote at general meetings of Truecaller in the same way as Alan Mamedi, except in situations where this could affect him personally in a negative way in relation to other shareholders.
“It is not uncommon in US tech companies that similar agreements are entered into between founders prior to listing to demonstrate to new institutional investors that the founders continue to share consensus on the company's strategy and future plans. Truecaller is a global company with a large international owner base, and this was an advice provided to us during the listing process, but which subsequently proved to be irrelevant. For that reason, we do not see any reason to maintain the agreement, which is why it has been terminated. We both continue to share consensus on Truecaller's strategy and future", comments Alan Mamedi, CEO and co-founder.
The agreement has now been terminated by the parties.
