Camanio Care: first day of subscription period

Today, on Monday 29th of October, the subscription period of Camanio Cares rights issue is initiated. The proceeds of the rights issue will be used to invest in the commercialization and expansion of smart care services for the home.

Camanio Care is a care technology company that focuses on delivering innovative solutions for digital care services in the home. The board of Camanio Care has decided to execute a rights issue of SEK 5 million, with a possible oversubscription of SEK 2 million. The rights issue is one of the first steps in the Company’s long-term financial strategy.

Terms and conditions of the rights issue

-        The right to subscribe is primarily the company's shareholders who receive a unit right on each share.

-        For each (1) share, the shareholders receive one (1) unit subscription right. Twenty-two (22) unit subscription rights are required in order to subscribe to one (1) new unit.

-        One unit consists of four (4) shares and one (1) warrant (TO 2).

-        Each warrant shall entitle the holder to subscribe for one (1) new share in Camanio Care during the period 27 December 2019 - January 17, 2020. The subscription price is equal to 70 percent of the daily volume weighted average price for 20 trading days beginning 20 November 2019, however, at least SEK 1.70 and no more than SEK 5.

-        The unit price is 6,80 SEK.

-        The issue consists of a maximum of 757,933 units.

-        Units in the oversubscription issue will primarily be awarded to shareholders who subscribed units by unit subscription rights.

-        Oversubscription issue of a maximum of 294,117 units.

Time plan for the rights issue

-        Subscription period 29 October – 19 November 2018.

-        The last day for trading in the Company’s share including the right to receive unit subscription rights is 23 October 2018.

-        The first day for trading in the Company’s share excluding the right to receive unit subscription rights is 24 October 2018.

-        Record date is 25 October 2018.

-        Subscription with preferential rights is made by payment no later than 19 November 2018.

-        Subscription without preferential rights may occur during the same period.

-        Trading in unit subscription rights takes place on Spotlight Stock Market during the period from 29 October 2018 to 15 November 2018.

-        Trading in BTU takes place on Spotlight from 29 October 2018 until the issue has been registered at the Swedish Companies Registration Office.

-        Trading in Warrants, TO 2, takes place at Spotlight Stock Market when the Warrants been registered at Euroclear. The last day of trading with TO will be two days before the final date of redemption, which means January 29, 2020.
