Bewag Agrees on Merger With Vattenfall Europe
Bewag agrees on merger with Vattenfall Europe The Annual Shareholders´ Meeting of Bewag AG, a member of the Vattenfall group of companies, decided on January 31, 2003, to push down its local operations into Bewag Op. Aktiengesellschaft & Co. KG and to merge Bewag AG with its parent company Vattenfall Europe Aktiengesellschaft. The merger agreement was accepted with a majority of 99.25 per cent of the votes and 98.7 per cent of the capital (98.40 per cent of shares group A, 100 per cent shares of group B). The EBITDA of the financial year 2001/2002 of roughly EUR 130m will be used to pay out a dividend of EUR 0.58 per share (agreement 99.99 per cent).
