Bewag integration with Vattenfall Europe complete The merger of Bewag Holding AG with Vattenfall Europe AG has been finalised following registration in the German trade register on 27 August 2003. A great majority of the shareholders of Vattenfall Europe and Bewag approved the merger at the general meetings held on 6 February and 31 January 2003. However, five shareholders in Vattenfall Europe and three shareholders in Bewag appealed against the decision under the German Companies Act. Litigation on shareholder's rights can take several years. When the appeals were lodged, the Boards of Vattenfall Europe and Bewag therefore requested a green light for the merger. Both of the relevant chambers of the Court of Appeal in Berlin granted this request in the first instance in June 2003. These judgements have now been confirmed by lawyers at the High Court in Berlin. This step marks the completion of the legal restructuring of the Vattenfall Europe Group.
