On 19 December 2022, Velvet Cichlid AB (the “Bidder”), a company controlled by a consortium consisting of GLA Invest SA, MCGA AB, h265 AB and Petter Wallin (the “Consortium”), announced a public offer to the shareholders of Sleep Cycle AB (publ) (“Sleep Cycle”) to tender all their shares in Sleep Cycle to the Bidder at a price of SEK 42.50 in cash per share (the “Offer”).

A Swedish language offer document relating to the Offer (the “Offer Document”) has today on 20 December 2022 been approved and registered by the Swedish Financial Supervisory Authority (Sw. Finansinspektionen). The Offer Document is available in Swedish on the Offeror’s website (www.better-sleep.se) and will also be available on the Swedish Financial Supervisory Authority’s website (www.fi.se).

Pre-printed acceptance forms and postage-paid return envelopes will be distributed to shareholders of Sleep Cycle whose shares are directly registered with Euroclear Sweden AB on 19 December 2022. Shareholders of Sleep Cycle whose holdings are registered in the name of a nominee will not receive a pre-printed acceptance form. Acceptance must be made in accordance with instructions received by the nominee.

The acceptance period for the Offer commences today, 20 December 2022 and expires at 15:00 CET on 31 January 2023. Assuming that the Offer is declared unconditional no later than on or around 2 February 2023, settlement is expected to be initiated on or around 6 December 2023.

The Bidder reserves the right to extend the acceptance period for the Offer, one or several times, and to postpone the settlement date.

The Bidder and the Consortium has retained Carnegie Investment Bank AB (publ) as financial adviser and Advokatfirman Vinge as legal adviser.
