Volati announces early redemption of all outstanding bonds
Volati AB (publ) announced on 12 April 2021 in a press release that Volati intends to call for an early redemption of the company's outstanding bonds 2017/2022 with ISIN SE0010547042 (the “Bonds”). This intention presupposed that the Annual General Meeting of Volati, held on 28 April 2021, approved the distribution of Volati's shares in Bokusgruppen (the so-called Lex Asea dividend).
Volati has on the date of this press release sent a conditional notice of early redemption to all directly registered owners and registered authorised nominees (Sw. förvaltare) in the debt register for each Bond kept by Euroclear Sweden as of 28 April 2021.
The early redemption is conditional upon the completion of the Lex Asea dividend and if the condition is fulfilled, the early redemption will be irrevocable and the Bonds will be redeemed on the redemption date being 11 June 2021. In accordance with the terms and conditions of the Bonds, the Bonds will be redeemed at an amount equal to 100.875 percent of the total outstanding nominal amount (i.e., SEK 1,008,750 per Bond).
The redemption amount, together with accrued and unpaid interest up to and including the early redemption date, will be paid to each person who is registered as owner of Bonds as of the record date being 4 June 2021 in the debt register maintained by Euroclear Sweden. In connection with the redemption, the Bonds will be delisted from Nasdaq Stockholm.
