Volkswagen’s offer for Scania: Supplement to the offer document made public

21 March 2014

On 21 February 2014, Volkswagen Aktiengesellschaft (“Volkswagen”) announced a public offer to the shareholders of Scania Aktiebolag (“Scania”) to tender all shares in Scania to Volkswagen at a price of SEK 200 in cash per share, regardless of share class (the “Offer”). The offer document regarding the Offer was made public on 14 March 2014.

On account of the statement by Volkswagen on 18 March 2014 as well as the recommendation from Scania’s Independent Committee on 18 March 2014 and the related fairness opinions, Volkswagen has prepared a supplement to the offer document which includes the above-mentioned documents. The supplement has been approved and registered by the Swedish Financial Supervisory Authority. The supplement has been made public today and is, together with the offer document, and the acceptance form, available on Volkswagen’s website www.volkswagenag.com/ir and on SEB’s website www.sebgroup.com/prospectuses.
