Wetteri Plc's new shares have been registered with the Trade Register

Wetteri Plc has previously announcedly carried out the acquisition of Suvanto Trucks Oy’s shares with a share exchange on 29 February 2024. In connection with the share exchange, the Board of Directors of Wetteri has issued a total of 8,869,936 new shares of the Company in a directed share issue to the shareholders of Suvanto Trucks Oy.  These new shares have been paid with the shares of Suvanto Trucks Oy as a contribution in kind. The directed share issue has been carried out on the basis of the authorization given by the Company's Annual General Meeting on 8 May 2023. The subscription price in the directed issue was EUR 0.469 per share. The subscription price was based on the terms of the share exchange agreement and determined in accordance with the share price at the time of execution of the acquisition.

After the share issue, the number of Wetteri’s shares has increased to a total of 157,082,545 shares from the previous 148,212,609 shares. The share capital of the Company has not changed as a result of the share issue. The registered share capital is 96,000 EUR. The new shares have been registered with the Trade Register on 7 March 2024 and will be publicly traded on Helsinki Stock Exchange approximately on 15th March 2024.
