Dentware Scandinavia AB has entered an agreement to acquire Brånemark Integration AB
Dentware Scandinavia AB and the Swedish dental implant company Brånemark Integration AB have agreed an agreement whereby Dentware acquires all shares of Brånemark Integration and its French subsidiary BioSmile Sarl.
The transaction is dependent upon the acceptance of the shareholders of Dentware Scandinavia AB and the company raising the necessary financing. The acquisition will be completed in part in cash and in part in new Dentware shares issued to the sellers. Dentware will be calling an extraordinary meeting of its shareholders to decide on the deal and expand the board of directors.
"An exciting deal that brings us into a new era and a higher league," says Per Dybwad, CEO of Dentware Scandinavia AB, He adds: "Brånemark Integration AB and its subsidiary BioSmile Sarl had 2014 total sales of more than SEK 13.7 million and adds to Dentware the world’s most recognized dental implant, name and treatment protocol. The acquisition furthermore enables Dentware to take a great step forward in our international expansion. In addition Dentware will enter an important collaboration agreement with Dr Rickard Brånemark and his activities within osseointegration.”
After completion of the acquisition the combined company will continue to be traded on AktieTorget under Dentware Scandinavia AB [DENT], with Brånemark Integration AB as a wholly owned subsidiary for the development, production and sales of dental implants and other components of Brånemark Integration’s product portfolio. BioSmile Sarl will continue to serve the French and BeNeLux markets for both Brånemark Integration AB and Dentware Scandinavia AB’s products and services.
Per Dybwad will be CEO of the Group, while Michael Escobar-Bach will continue to head Brånemark Integration AB’s expansion and product development and have the overall responsibility for marketing.

The combined strategy fits excellently with the planned launch of a new unique implant concept which will be presented at the European Implant Congress EAO in Stockholm in September”, says Mikael Escobar-Bach.
