Windevo AB initiates written procedures regarding its up to SEK 50,000,000 Subordinated Second Lien Secured Callable PIK Interest Bonds 2018/2023a restructuring of its senior secured bonds 2015/2019 and its Maximum SEK 62,000,000 Senior Secured Callable Fixed Rate Bonds 2018/2021

Windevo AB (the “Company” or the “Issuer”) summons meetings among the bondholders by way of a procedure in writing (the “Written Procedures”) for its outstanding bonds ISIN: SE0011337120 up to SEK 50,000,000 Subordinated Second Lien Secured Callable PIK Interest Bonds 2018/2023 and ISIN: SE0011337146 and SE0011337153 Maximum SEK 62,000,000 Senior Secured Callable Fixed Rate Bonds 2018/2021 (the “Bonds”).

The Written Procedures relate to certain waivers and amendments of the terms and conditions of the Bonds as is set out in more detail in the Written Procedures.

The Company has today instructed Nordic Trustee & Agency AB (publ), being the agent under the Bonds, to send a notice to the Written Procedures to all bondholders directly registered in the Company’s debt ledger held with Euroclear Sweden in order to receive the bondholders’ approval of the suggested waivers and amendments to the terms and conditions of the Bonds.

Windevo AB, (formerly AGBH Invest AB) is a company being controlled by former holders of Aligera Holding AB (publ)’s SEK 500,000,000 senior secured green bonds 2014/2019 with ISIN SE0005933231. Windevo acquired the operating assets from the Aligera bankruptcy estate on June 28, 2018.
