The restructuring plan in YA Holding’s subsidiary YrkesAkademin AB gains legal force

YA Holding AB (publ)’s (”YA Holding”) subsidiary YrkesAkademin AB’s restructuring plan that was approved by Falu District Court on 15 April 2024 has not been appealed. The restructuring plan has thus gained legal force (Sw. vunnit laga kraft). YrkesAkademin AB will therefore submit a request to the District Court to formally terminate the corporate restructuring, which the District Court is expected to decide on shortly thereafter.

Given that the restructuring plan in YrkesAkademin AB now has gained legal force, YA Holding will commence implementing the refinancing arrangement that YA Holding announced in a press release on 1 March 2024 and approved by the bondholder’s on 20 March 2024. The refinancing arrangement involves a restructuring of the capital structure and certain liabilities in YA Holding through, inter alia, (i) a write-down of YA Holdings’ outstanding senior secured bonds with ISIN SE0016831150 (the “Existing Bonds”) to approximately SEK 115 million and certain amendments to the terms and conditions of the Existing Bonds; (ii) the raising of new financing of SEK 100 million by a newly formed holding company (the “New Financing”) which is intended to take over the ownership of all shares in YA Holding in connection with the completion of the refinancing arrangement; and (iii) an internal restructuring of certain group companies and intra-group transactions in order to achieve a more efficient structure. Detailed information on the timeline for the refinancing arrangement will be published by YA Holding separately.
