YA Holding AB (publ) has held the annual general meeting and an extraordinary general meeting in connection with the completion of the refinancing arrangement
YA Holding (publ) (”YA Holding”) announces today that the refinancing arrangement announced by YA Holding by way of a press release on 1 March 2024 and approved by the bondholders on 20 March 2024 has been completed. As part of the refinancing agreement and as previously announced, YA Holdings’ outstanding senior secured bonds with ISIN SE0016831150 will be written down to approximately SEK 115 million on 7 June 2024, with record date (Sw. avstämningsdag) 30 May 2024.
In connection with the refinancing arrangement, YA Holding also held its annual general meeting. The annual general meeting resolved to adopt the income statement and the balance sheet as well as the consolidated income statement and the consolidated balance sheet for the financial year 2023 and resolved in accordance with the board of directors’ proposal that the result shall be carried forward and consequently no dividends shall be paid for the financial year 2023. In addition, the current and former members of the board of directors and the CEO were discharged from liability for the financial year 2023. The annual general meeting also resolved to re-elect the registered accounting firm Deloitte AB as auditor with Alexandros Kouvatsos as auditor in charge.
On the same day and following the annual general meeting, YA Holding also held an extraordinary general meeting as a result of the refinancing arrangement. The extraordinary general meeting resolved to replace the current board of directors consisting of Katarina Axelsson Lindgren, Daniel Nejman and Conny Karlsson, by electing Alexander Groh (chair), Mark Hoffmann and Jørgen Beuchert as new members of the board for the period until the end of the next annual general meeting.
