Zmarta Group announces recommended cash offer to Insplanet AB (publ) shareholders

Zmarta Group has, through Ceratiidae III AB, submitted a recommended cash offer to the shareholders of Insplanet AB (publ) for the acquisition of all outstanding shares in Insplanet at a price of SEK 13.00 cash per share. The offer represents a premium of approximately 20 per cent in relation to the closing price on August 30, 2018 and approximately 30 per cent in relation to the volume weighted average price during the last 30 days of trading. The offer is unanimously recommended by the independent bid committee of Insplanet’s board of directors.

Zmarta Group is a leading digital player in comparison of consumer finance services in the Nordics, focusing on private loans, mortgages, electricity and insurances. Insplanet holds a leading position in Sweden as a digital comparison services for auto and home insurances, via the Insplanet.com comparison site. Together, Zmarta and Insplanet would become a market-leading digital comparison service for personal finance services in Sweden.

The total value of Zmarta Group’s offer is approximately SEK 176 million. The offer represents a premium of approximately 20 per cent in relation to the closing price of SEK 10.80 of the Insplanet share on August 30, 2018 and approximately 30 per cent in relation to the volume weighted average price of SEK 9.98 during the last 30 days of trading.

The independent bid committee of Insplanet’s board of directors unanimously recommends the shareholders to accept the offer. Four of Insplanet’s largest sharesholders, holding an aggregate of approximately 80.7 per cent of the shares and votes in the company, have irrevocably undertaken to accept the offer.
