Change in number of shares and votes in Catena Media plc
The number of shares and votes in Catena Media plc amounts to 55,836,846 and the share capital amounts to EUR 83,755 following the below changes.
Catena Media has, as announced on 16 August 2018, resolved on a directed share issue of 77,209 shares as payment of part of the purchase price for assets acquired in the US in December 2016, which shares were registered and issued on 20 August 2018.
Further, the registration of 127,440 shares was cancelled (as of 6 August 2018) since an anticipated part of the purchase price for acquired assets in Hammerstone Inc (separately announced on 13 June 2018), in respect of which the seller of the assets later elected to receive a cash payment of MUSD 2 instead of the aforementioned shares. The issuance of such shares was deemed not to have taken effect (with the registration of the shares cancelled on this basis) in accordance with Article 85(5) of the Companies Act (Chapter 386 of the Laws of Malta).
