Proposal by the nomination committee regarding the board of directors of Instalco Intressenter AB

Instalco’s nomination committee has informed the company of its proposal regarding new board of directors.

The current composition of the board deviates from The Swedish Corporate Governance Code (“the Code”) regarding number of board members elected by the general meeting who work in the company’s management or in the management of its subsidiaries. In 2017, the board decided to report a deviation from the Code in this part and to leave the question regarding the size and composition of the board to the nomination committee at the annual general meeting with the new shareholder base after the listing of the company’s shares on Nasdaq Stockholm, which took place in May 2017.

The nomination committee proposes re-election of the current board members Olof Ehrlén and Johnny Alvarsson. Olof Ehrlén is proposed to be re-elected as the chairman of the board. The nomination committee proposes Carina Edblad, Per Leopoldsson, Carina Qvarngård and Camilla Öberg as new board members.

Carina Edblad has more than 30 years of operational experience from the construction and contractor business, both as specialist and manager, with responsibilities for project management, business development, procurement and as CEO. She has worked in all phases of the construction process and has been a customer of the installation industry for 25 years. She is currently CEO of Thomas Betong AB and board member in Hifab Group AB, NCC AB and the Confederation of Swedish Enterprise. Carina was born 1963 and has an engineering degree from Chalmers University of Technology.

Per Leopoldsson has been working within the real estate and construction industries throughout his career. This has provided him with extensive expertise and a broad network within the industry. Among previous positions, Per has been CFO in the publicly listed companies Fastighets AB Näckebro, Scandiakonsult AB, and for Bravida AB between 2005-2014. Per currently runs the company Solavik Förvaltning AB and is a council member of the Swedish Property Federation in Stockholm. He is also a board member in the insurance company Brandkontoret, SBC and NAI Svefa, and chairman of the board in Jernbro AB. Per was born 1960 and has a MSc in Business and Economics from the Stockholm School of Economics.

Carina Qvarngård has more than 30 years of experience from leading positions in international companies, such as Ericsson AB, Sodexo Nordics and Caverion Oy. Carina’s experience from management and governance in complex project-oriented companies and organisations has provided her with solid expertise within organisation and business development in service companies to create the best possible profitability. Since 2017, she works as a senior consultant in organisational and business development towards Nordic clients that are in need of industrialisation and internationalisation. Carina was born 1959 and has a MSE from KTH Royal Institute of Technology in Stockholm.

Camilla Öberg has extensive experience as CFO in complex and international businesses, often under transformation pressure. She has been working in publicly listed companies, both on operational and board level, and is well-acquainted what the demands and expectations that meet a public company from a financial perspective. Among previous assignments, Carina has been CFO of Swegro Group, Head of Investor Relations at WM-Data and CFO of Logica. Since 2012, Camilla is CFO of Cybercom Group AB. She is also a board member in WeSC and Xvivo Perfusion AB. Camilla was born 1964 and has a MSc in Business and Economics from the Stockholm School of Economics.

All proposed board members are considered to be independent in relation to both major shareholders and the company and its management.

The annual general meeting will be held on 8 May 2018 in Stockholm.
