Information regarding ADDvise decision to introduce a new class of shares

ADDvise Group AB (publ) resolved at the Extraordinary General Meeting held on August 25th 2015 to introduce a new class of shares through a bonus issue. After the bonus issue, the already existing 7,619,439 shares will consist of A-shares, each with one (1) vote, while the new 7,619,439 shares will consist of B-shares, each carrying one-tenth (1/10) of a vote. The record date for the bonus issue is September 15th 2015, and the shareholders who are registered on the record date will receive Class B-shares corresponding to the number of existing A-shares to their respective securities accounts.

Clarifying information regarding this decision:

  • Last day of trading with existing shares (prospective class A-shares) including the right to one (1) new class B-share is September 11th 2015. As a shareholder no active measure is needed in order to take part of the bonus issue, which has the same effect as a stock split.
  • First day of trading of both classes of shares on Nasdaq OMX First North Premier is September 14th 2015.
  • The record date of the bonus issue is September 15th 2015. Shareholders who wish to receive class B-shares must be entered in the Euroclear Sweden AB share register on the record date.
  • The existing ADDvise shares will become class A-shares and will maintain the existing ISIN code SE0001306119 and be traded under the ticker ADDV A.
  • The ISIN code of the coming class B-share is SE0007464862 and the share will be traded under the ticker ADDV B.
  • Class A-shares will carry one (1) vote while class B-shares will carry one-tenth (1/10) of a vote.
  • After the bonus issue the company has a total of 15,238,878 shares, of which 7,619,439 are class A-shares and 7,619,439 are class B-shares amounting to a total of 8,381,382.9 votes.
