Annual General Meeting – additional information

Reference is made to the Notice of the Annual General Meeting, to be held on April 27, 2023.

Item 8 on the AGM agenda is the election of two new candidates to the Board of Directors.

Atea is providing the following additional information regarding the independence of the two candidates, and of the Board as a whole.

The Norwegian Corporate Governance Board (NUES) has issued the following recommendation on independence of Board members in its guidelines for corporate governance: “The composition of the board of directors should ensure that it can operate independently of any special interests. The majority of the shareholder-elected members of the board should be independent of the company’s executive personnel and material business contacts. At least two of the members of the board elected by shareholders should be independent of the company’s main shareholder(s).”

The AGM proposal to elect two new candidates to the Board of Directors would entail that four out of six shareholder-elected members of the Atea Board would be independent, in accordance with the NUES guidelines.

Among the candidates for election:

  • Carl Espen Wollebekk is independent of the company’s main shareholders, executive personnel and material business contacts.
  • Lone Schøtt Kunøe is not independent, due to her position as Managing Director of Consolidated Holdings, the largest shareholder of Atea.

Among other shareholder-elected board members who will continue in their roles following the AGM:

  • Morten Jurs, Saloume Djoudat and Lisbeth Toftkær Kvan are independent of the company’s main shareholders, executive personnel and material business contacts.
  • Sven Madsen is not independent, due to his position as Chief Financial Officer of Consolidated Holdings, the largest shareholder of Atea.
