Information about Basware’s Annual General Meeting on March 19, 2020 with regards to the coronavirus

Basware takes the spreading of coronavirus (COVID-19) very seriously. In order to keep its shareholders safe and to mitigate the risks, Basware takes the following actions in its Annual General Meeting in Finlandia Hall, Helsinki on Thursday March 19, 2020:

• Shareholders, who have already registered to the Annual General Meeting and were planning to attend in person, are given an option to use attached proxy forms to have Basware’s legal counsel to represent them at the Annual General Meeting
• The participation of members of Board of Directors and Executive Team is limited to the minimum.
• There will be no refreshments served
• There will be additional seats in the auditorium to allow more space between members of the audience and a standing microphone will be used for questions from the audience. Hand sanitizers will be available at the venue.

Basware advises those shareholders who have been exposed to the coronavirus within 14 days prior to the Annual General Meeting or have symptoms of illness, or who are considered to be part of the risk group, to consider not attending to the meeting venue and authorising Basware’s legal counsel to represent them at the meeting.

Proxy documents and voting instructions should be delivered by email as a scanned copy (e.g. PDF file) to yhtiokokous@basware.com on Wednesday March 18 at 12:00 noon EET at the latest. Proxy forms are attached to this notice and available at https://investors.basware.com/en/annual-general-meeting.

Basware’s Annual General Meeting is held as previously announced on Thursday, March 19, 2020 at 1:00 pm in Finlandia Hall, at the address of Mannerheimintie 13e, Helsinki, Finland. The reception of persons who have registered for the meeting will commence at 12:00 noon.
