Brain+ announces registration of directed issue with the Danish Business Authority

Copenhagen, Denmark, April 10, 2024 – Brain+ A/S (Nasdaq First North: BRAINP)

• New shares from the directed issue to guarantors of the series TO 3 warrant exercise have been registered with the Danish Business Authority (DA: Erhvervsstyrelsen)

• The new shares are expected to commence trading on Nasdaq First North Copenhagen on April 12, 2024

On March 26, 2024, Brain+ A/S (“Brain+” or “the Company”) announced the outcome of the exercise of warrants of series TO 3 (the “Warrants”), which were issued in connection with the Company’s unit rights issue in May 2023. In connection with the Warrants exercise, Brain+ also carried out a directed issue to guarantors of the Warrants exercise (the “Directed Issue”). The new shares from the Directed Issue have now been registered with the Danish Business Authority.

The new shares from the Directed Issue to the guarantors of the Warrants exercise have now been registered with the Danish Business Authority. The registration of shares issued from the exercise of Warrants was announced by Brain+ on April 10, 2024. Upon registration of the shares from the Directed Issue, the number of shares in Brain+ has increased with 7,787,874 shares, from 83,661,405 shares to 91,449,279 shares, and the Company’s nominal share capital has increased by DKK 778,787.40, from DKK 8,366,140.50 to DKK 9,144,927.90.

Application has been made to Nasdaq Copenhagen A/S for the new shares to be admitted for trading on Nasdaq First North Copenhagen. It is expected that the first day of trading of the new shares from the Directed Issue will be on April 12, 2024.
