Change in number of shares in BrainCool AB (publ)

Conversion of convertible notes into shares, as part of the financing agreement announced 24 August 2018.

The number of convertible notes converted on December 3, 2018, was 15. The number of convertible notes remaining under the second tranche for future conversion is 15. The reason is that the conversion of 2 MSEK which was communicated on October 22, 2018, and referring to tranche 1, was changed to tranche 2 for administrative reasons. Therefore, 2.5 MSEK remains in tranche 1.

The number of shares and the number of votes before the conversion was 36 830 745. Through this conversion, and once the shares from the conversion will be registered at Bolagsverket, the number of shares and the number of votes shall have increased by 220 913. The total number of shares and total number of votes after this conversion and once the shares have been registered at Bolagsverket will amount to 37 051 658.

Conversion price is 6,79 SEK per share and conversion amount is 1 500 000 SEK.
