Bulletin from the annual general meeting in Cabonline Group Holding AB (publ) on May 28[th], 2024
Adoption of the accounts and discharge from liability
The meeting adopted the balance sheets and income statements for the parent company and the group for the financial year 2023.
The meeting discharged the board members and the managing director from liability for the financial year 2023.
Appropriation of result
The meeting resolved not to declare any dividend for the financial year 2023 and that the result should be carried forward.
The board of directors and remuneration
The meeting resolved to re-elect Peter Viinapuu, Julian Ruß and Thomas Næss as board members for the period until the end of the next annual general meeting and that no deputy board members shall be elected. The meeting resolved to re-elect Peter Viinapuu as chair of the board of directors.
The meeting resolved that a fee of SEK 800,000 shall be paid to the chair of the board of directors and that no fee shall be paid to the other board members. The meeting resolved that the auditor shall be paid on approved account with monthly invoicing showing the number of hours spent divided by area of work.
Auditor
The meeting resolved to re-elect the audit firm Ernst & Young AB as auditor for the period until the end of the next annual general meeting. Ernst & Young AB has notified that the authorised public accountant Andreas Nyberg Selvring will continue as auditor-in-charge.
