Cabonline receives approval from the noteholders in the written procedure for its outstanding notes
On 20 September 2023, Cabonline Group Holding AB (publ) (the “Company” or “Cabonline”) initiated a written procedure (the “Written Procedure”) under its existing SEK 1,650,000,000 senior secured sustainability-linked floating rate notes with ISIN SE0017767346 (the “Notes” and each holder of Notes, a “Noteholder”). The Written Procedure was initiated for the purpose of requesting the Noteholders’ approval of the implementation of the Transaction as summarised and defined in the Company’s press release dated 20 September 2023 and as further set out in the notice of Written Procedure which is available on the websites of the Company and Nordic Trustee & Agency AB (publ) (the “Agent”).
Cabonline today announces that the requisite quorum and votes were received in order to approve the Proposal (as defined in the notice of Written Procedure) and that the Written Procedure has accordingly been successfully concluded.
Specifically, a sufficient number of votes were obtained in order to form a quorum and approximately 99.90 per cent. of the adjusted nominal amount of the Notes, for which the Noteholders were voting, voted in favour of the Proposal. The Agent has today confirmed that the Proposal has been approved; the Proposal will come into effect upon the Agent being satisfied that it has received the documentation and evidence set out in section 5 (Effective Date) of the notice of Written Procedure, which date is expected to be 18 October 2023.
