Fredrik Sauter acquires warrants in Catella from other senior executives
With the aim of creating a long-term incentive through ownership, Fredrik Sauter is acquiring on market terms 600,000 warrants from other senior executives at Catella. Fredrik Sauter is a member of Catella's group management.
The Catella senior executives who are selling the warrants are Johan Ericsson (CEO), Lennart Schuss (Deputy CEO) and Ando Wikström (CFO), who are each selling 200,000 warrants. After the sale, the above-mentioned persons will each hold 5,350,000 warrants.
Facts concerning the subscription warrants
The warrants that are currently being sold are the warrants decided upon by the annual general meeting on 20 May 2010. The warrants were used in connection with the acquisition of the former Catella Group, whereupon senior executives and key personnel within the former Catella Group were given the opportunity to acquire on market terms all warrants, which carry an entitlement to subscribe for a maximum of 30,000,000 new class B shares in Catella AB (publ). Exercise dates for the warrants are 25 March – 25 May inclusive, during 2013, 2014, 2015 and 2016, broken down respectively as follows: 33 per cent, 13 per cent, 27 per cent, and 27 per cent.
