Catena Media Nomination Committee 2020 AGM appointed
Catena Media plc´s (CTM) Annual General Meeting will be held in Malta on Friday 15thof May 2020. In accordance with the resolution at Catena Media´s AGM held on 2ndof May 2019, it is hereby announced that the company´s major owners have appointed a Nomination Committee.
In accordance with the decision by the Annual General Meeting 2019, the Nomination Committee of Catena Media Plc. shall consist of four members. The three largest share-holders who wish to participate in the committee are entitled to appoint one member each. In addition, the Chairwoman of the Board of Directors of Catena Media plc. participates in the committee. The members of the Nomination Committee have been appointed based on the ownership structure as per 31stof August 2019 and consists of:
Erik Orving, Bodenholm Capital AB (Chairman of the Nomination committee)
Nicklas Paulson, Investment AB Öresund
Jake Hennemuth, Ruanne, Cunniff & Goldfarb
Kathryn Moore Baker, Chairwoman of the Board of Catena Media plc.
The Nomination Committee will prepare proposals for the Annual General Meeting 2020 regarding election of chairman and other directors of the board, election of auditor, matters regarding fees, election of chairman of the Annual General Meeting and resolution concerning the Nomination Committee.
The Annual General Meeting in Catena Media plc will take place on the 15thof May 2020, by 10:00 at the Catena Media office in Malta, Quantum Place, Triq ix-Xatt, Ta´Xbiex, Gzira GZR 1052, Malta. A video link will be available with the possibility for shareholders to participate and vote from Stockholm, Sweden.
