Changes to the Nomination Committee’s proposals to Catena’s Annual General Meeting 2022

The notification of Catena’s Annual General Meeting 2022 was announced in a press release on 25 March 2022. In the press release, the Nomination Committee's proposals for the number of Board Members and the Board Members were presented. Catena’s Nomination Committee has informed Catena of its decision to amend the proposal and to propose new election of one further Board Member. The Nomination Committee proposes that eight Board Members be elected (agenda, item 13) and that Mr. Joost Uwents, CEO of WDP, is elected board member (agenda, item 15).

28 March 2022 Catena published a press release “Catena agrees a directed share issue to WDP, raising gross proceeds of SEK 2,168.5 million and welcomes a new long-term shareholder and strategic partner”. In light of the events stated in the press release, the Nomination Committee’s proposals to Catena’s Annual General Meeting 2022 have been updated. The updated proposal means that eight Board Members be elected with new election of Joost Uwents and, as previously announced, re-election Gustaf Hermelin, Katarina Wallin, Hélène Briggert, Magnus Swärdh, Caesar Åfors, Vesna Jovic and Lennart Mauritzson as ordinary Board members, and that Lennart Mauritzson newly elected as Chairman of the Board.

Joost Uwents has been with WDP since 1999 and he has been CEO in the company since 2010. He is a commercial engineer and holds an MBA. His banking background gives him strong knowledge of real estate and finance. Joost Uwents has no holding of shares in Catena.

Catena will hold its AGM on 28 April 2022 16:00 CEST, at World Trade Center, Klarabergsviadukten 70 in Stockholm, Sweden. Shareholders may exercise their voting rights at the Annual General Meeting solely by voting in advance, that is, by using postal voting. Accounting information, audit report, complete proposals for decisions, the Board’s considered statements and accounts, the remuneration guidelines, remuneration report, etc., and auditors’ opinions, as well as proxy forms and updated postal voting forms, are available at www.catenafastigheter.se and at the Company’s head office in Helsingborg from 7 April 2022 at the latest.
