Nomination committee in Cereno Scientific AB appointed ahead of annual general meeting 2023

Instruction for the appointment of the nomination committee in Cereno Scientific AB (“Cereno” or “Company”) was resolved at the annual general meeting on June 1, 2022. The basis for this assessment has been the ownership holding as of May 31, 2022, in addition to a representative from Cereno’s Board in form of the Chair of the Board. The Company announced today that the representatives of the nomination committee are now appointed.

According to the instructions resolved at the annual general meeting, the nomination committee should be appointed as follows. The Company’s largest shareholder, or group of shareholders, as of May 31, 2022, has the right to appoint one representative of the nomination committee. Furthermore, a group of shareholders that consists of the Company’s founders Sverker Jern and Niklas Bergh have the right to appoint one representative of the nomination committee. In addition, the nomination committee must include the Chair of the Board who must also be the convener.

 

The nomination committee ahead of the annual general meeting 2023 has thus been appointed and comprises:

  • Cihan Punar, representing the Company’s largest group of shareholders per May 31, 2022
  • Sverker Jern, representing the Company’s founders Sverker Jern och Niklas Bergh
  • Catharina Bäärnhielm, convening member and Chair of the Board of Cereno

One of the members, but not the Chair of the Board, must be appointed the Chair of the nomination committee. The nomination committee's term of office extends until a new nomination committee is appointed.

Cereno’s annual general meeting will take place in Gothenburg on June 1, 2023. The time and location will be announced in conjunction with the publication of the notice.

The proposal shall be received by the nomination committee no later than January 31, 2023. The nomination committee’s proposal will be announced in conjunction with the publication of the notice, at the latest.
