ContextVision Annual General Meeting 2010

On the 9th of June 2011, ContextVision held its ordinary Shareholders Annual General Meeting in Stockholm.

- The annual financial report was presented and approved.
- Disposition of financial results according to the proposal of the Board of Directors was approved.
- The financial report and accounts of the Managing Director and Board of Directors were approved and adopted by the General Meeting.

- The managing director and the board of directors were discharged from liability by the General Meeting

- Board compensation was decided according to the following:
          - Erik Danielsen will be paid SEK 200.000 per year for serving as chairman of the board.
          - Karin Bernadotte will be paid SEK 100.000 per year for serving as an external member of the board.
          - Magne Jordanger, Martin Hedlund and Sven Gunther-Hanssen will, as major shareholders, not receive any board remuneration.

- The audit fee will be based on current account.

- Erik Danielsen , Magne Jordanger and Martin Hedlund were reelected as members of the board.
- Karin Bernadotte (pending formal international senior management approval from MSD Sweden) and Sven Gunther-Hanssen were elected as new board members.
-
No deputy members were elected.

- Following a change in the Swedish Companies Act, the company’s articles of association have been changed. The change refers to the procedure of notification of shareholders to attend general meetings.
- Ernst & Young AB was reelected auditor.
- All decisions were unanimous.
- At a board meeting following election, Mr. Erik Danielsen was appointed to continue in his assignment as the chairman of the board.

Presentation of the new board members

- Karin Bernadotte is currently serving as Managing Director of Merck Sharp & Dohme (MSD) Sweden. She holds a Master of Science degree in Pharmacy from the University of Uppsala and she has over 20 years of experience from various positions within MSD Sweden, as well as from different board assignments.
Bernadotte has no shares in the company.

- Sven Günther-Hanssen is one of the founders of ContextVision, and he has previously served as CEO for the company, as well as board member.  During later years he has acted as a venture capitalist and been involved in a number of start-up companies in the medical, industrial and financial sectors in the capacity of investor as well as board member. He holds a Master of Science exam in Industrial Engineering from the Linköping Technical University.
Günther-Hanssen holds 851.667 shares (11%) in the company.
