EAB Group Plc: Changes to the key employees’ Performance Share Plan

The Board of Directors of EAB Group Plc has decided 9 December 2021 to change the key employees’ Performance Share Plan. The Board of Directors decided 7 August 2020 to establish a new share-based incentive plan for the Group key employees. The introduction of the plan and the key terms and conditions have been announced in a stock exchange release 7 August 2020.

The Board of Directors has decided on the details of the new performance period of the share-based incentive plan and to amend the terms of the plan so that the reward for the performance periods starting in 2021 and 2022 will be paid in one instalment, one year after each performance period and with no waiting period regarding the reward.

The potential reward from the performance period 1.8.2021–31.7.2023 is based on the Total Shareholder Return of the EAB Group Plc share. The target group of the plan during the performance period includes 9 key employees, including the members of the company’s Executive Group. The rewards to be paid for the performance period 2021–2023 equals to a maximum of 260,000 EAB Group Plc shares, also including the proportion to be paid in cash.

The performance period 2021–2023 will be followed by a one-year commitment period, after which any reward for the performance period will be paid in one instalment in autumn 2024, partly in company shares and partly in cash.
