Karo Intressenter AB owns approximately 66.5 per cent of the outstanding shares in Karo Pharma Aktiebolag after the expiry of the final acceptance period

On 29 October 2018, EQT VIII[1] (“EQT VIII”), through Karo Intressenter AB[2] (“Karo Intressenter”), announced a public cash offer to the shareholders in Karo Pharma Aktiebolag (“Karo Pharma”) to acquire the shares in Karo Pharma at a price of SEK 36.90 per share (the “Offer”). On 2 January 2019, the price in the Offer was increased to SEK 38.00 in cash per share, and on 22 January 2019, it was announced that Karo Intressenter had decided to waive the condition regarding a minimum level of acceptances and to complete the Offer.

The final acceptance period for the Offer expired on 12 February 2019. At the end of the final acceptance period, the Offer had been accepted by shareholders holding an aggregate of 76,377,854 shares, corresponding to approximately 47.2 per cent of the total number of outstanding shares[3] and votes in Karo Pharma. Furthermore, Karo Intressenter has, since 29 October 2018, acquired in total 31,223,273 shares in Karo Pharma outside the Offer, which corresponds to approximately 19.3 per cent of the total number of outstanding shares and votes in Karo Pharma.[4] All the shares in Karo Pharma tendered in the Offer, together with the shares in Karo Pharma acquired by Karo Intressenter on the market, correspond to approximately 66.5 per cent of the total number of outstanding shares and votes in Karo Pharma.

Settlement in respect of the shares for which acceptances were received during the final acceptance period occurs on a weekly basis. Settlement commenced on 8 February 2019 for the shareholders who accepted the Offer no later than 29 January 2019, and is expected to commence on or about 15 February 2019 for the shareholders who accepted the Offer no later than 5 February 2019 and on or about 22 February 2019 for the shareholders who accepted the Offer no later than 12 February 2019.

At the request of Karo Intressenter, Karo Pharma will hold an extraordinary general meeting at 15:00 (CET) today. At the extraordinary general meeting, election of new board members to the Board of Directors of Karo Pharma will be considered.
