Esmaeilzadeh Holding resolves on a consolidation of certain portfolio companies

Esmaeilzadeh Holding AB (publ) (”EHAB”) today announces that the company has resolved on a consolidation of certain portfolio companies in order to create a new group, Lyvia Group AB (“Lyvia Group”). Lyvia Group will form a pan-European operational group with its primary focus on TMT.

EHAB’s board of directors has resolved to carry out a reorganisation of certain of EHAB’s holdings to create a new group with the name Lyvia Group. Lyvia Group will primarily be composed of EHAB’s portfolio companies Mirovia, Plenius, Äleven and Eitrium. The new group is expected to have earnings of approximately BSEK 2.3, with an EBITDA of approximately MSEK 500, considering both closed acquisitions and acquisitions under due diligence. [1]

“By consolidating a number of portfolio companies into Lyvia Group, we will gather expert knowledge and streamline the work that is currently being conducted within separate organizations. We are also creating a new robust platform for a European expansion", comments Saeid Esmaeilzadeh, CEO of Esmaeilzadeh Holding and elected chairman of Lyvia Group.

Lyvia Group plans to refinance all debt within the group in 2022, including the bond loan issued by Mirovia AB (publ). Following such refinancing, all continued financing within Lyvia Group will be placed centrally in Lyvia Group.

To achieve the new company structure, EHAB plans to acquire minority interests from external shareholders in a number of the companies involved in the restructuring.

Following the restructuring, EHAB's Operational Groups segment will consist of Lyvia Group, Rebellion, Novedo, Dentalum, Samfastigheter i Norden and Other Operational Groups. The Liquid Assets segment (including Sdiptech and Xbrane Pharma), and the Ventue Capital setment (including Centripetal and Hidden Dreams) are not affected by the reorganisation.
