Everfuel A/S – Disclosure of large shareholding and mandatory notification of trade

Reference is made to the previous stock exchange announcement on 15 November 2024 where Faro BidCo ApS announced the unconditional date of its unregulated recommended voluntary cash offer to the shareholders of Everfuel A/S (the "Company" or "Everfuel"), as further described therein and in the offer document dated 2 September 2024 (the "Offer Document").

Following the completion of the Share Contribution from the Rollover Shareholders (both as defined in the Offer Document), Faro BidCo ApS, being a person closely associated with primary insiders in Everfuel, has acquired 64,753,804 shares in Everfuel, each valued on the basis of the Offer Price of NOK 13 per Everfuel share, and holds a total of 64,753,804 shares in the Company, representing approximately 75.05 % of the share capital and votes in Everfuel. Consequently, Faro BidCo ApS has exceeded the 50% reportable threshold of the share capital and votes in the Company.

Following the completion of the Offer, which will take place no later than 20 November 2024, Faro BidCo ApS will exceed the 90% reportable threshold of the share capital and votes in Everfuel and intends to carry out a compulsory acquisition of the remaining shares in accordance with the Danish Companies Act Sections 70 and 72 and take steps to delist Everfuel's shares from Euronext Growth Oslo.

This information is disclosed by the Company in accordance with the requirements in section 4.3.1 of the Euronext Growth Markets Rule Book Part I and the Market Abuse Regulation article 19.
