GJF: Proposals to the Annual General Meeting

The Board of Gjensidige Forsikring ASA will propose for the Annual General Meeting the following Board Authorisations:

    • Authorisation to decide the distribution of dividend
    • Authorisations to acquire own shares in the market corresponding to up to 10 per cent of the share capital
    • Authorisation to increase the share capital by up to 10 per cent
    • Authorisation to raise subordinated loans and other external financing by up to NOK 2.5 billion

Further, the Board has decided mergers with the two wholly-owned, Danish subsidiaries Nykredit Forsikring A/S and Mølholm Forsikring A/S:

The Boards of Directors of Gjensidige Forsikring ASA and its two wholly-owned, Danish registered subsidiaries Nykredit Forsikring A/S and Mølholm Forsikring A/S, have decided to merge the two companies with Gjensidige Forsikring ASA in accordance with the simplified regulation regarding  mergers between a parent company and subsidiary across national borders. Due to the merger taking place across national borders, the General Meeting of Gjensidige Forsikring ASA, as the company taking over, needs to approve the merger plan, according to the Public Limited Companies act. The mergers will not affect the Gjensidige Group's capital position, and will cater for a more rational and efficient operation. The merger plans and other documents related to the mergers will be made available on www.gjensidige.com no later than 28 February.

The Annual General Meeting of Gjensidige Forsikring ASA will be held on Thursday 28 March 2019. The notice including a full agenda for the General Meeting and appendices will be published and sent to shareholders on 5 March 2019.
