New shares in Glaston Corporation and cancellation of 157,716 shares registered with the Finnish Trade Register

As previously announced in a stock exchange release published on 1 April 2019, Glaston Corporation (“Glaston” or the “Company”) has carried out a directed share issue (the “Directed Share Issue”) in connection with closing of the acquisition of the Swiss-German Bystronic Maschinen AG and Bystronic Lenhardt GmbH and their subsidiaries. Furthermore, as also announced in the above-mentioned stock exchange release, the Board of Directors of the Company has resolved on the cancellation, pursuant to Chapter 15 Section 12 of the Finnish Limited Liability Companies Act (624/2006, as amended), of 157,716 Glaston shares held by Evli Awards Management Oy (“Evli Awards”) upon Evli Awards’ consent. The cancelled shares relate to an old arrangement between the Company and Evli Awards that has been terminated. The Directed Share Issue and the cancellation of the shares have resulted in changes to the number of shares in Glaston as follows:

Prior to the Directed Share Issue and the cancellation of the shares held by Evli Awards, there were in total 38,726,627 registered shares in Glaston. A total of 7,407,405 new shares (the “New Shares”) issued and subscribed for in the Directed Share Issue and the cancellation of the 157,716 shares held by Evli Awards have been registered with the Finnish Trade Register on 9 April 2019. Following the registration, the new total number of registered shares in the Company is 45,976,316.

Trading in the New Shares is expected to commence on Nasdaq Helsinki Ltd on or about 10 April 2019.

The cancellation of the shares held by Evli Awards, which shares had been considered, financially and in respect of shareholder rights, as treasury shares held by the Company, does not affect Glaston’s results of operations, cash flow or equity.
