Judgement in the appeal case concerning Xella’s pre-merger notification of a possible merger with H+H
As previously announced Xella International Holdings S.à.r.l.’s (“Xella”) has shown interest in taking over H+H International A/S (“H+H”). Xella submitted pre-merger notifications to relevant competition authorities in that regard. The Bundeskartellamt (the German competition authority) decided on 14 March 2012 to prohibit a possible merger between Xella and H+H with regard to the German market. Xella subsequently appealed the prohibition decision to the Oberlandesgericht Düsseldorf (Düsseldorf Higher Regional Court).
As informed in company announcement no. 288 of 28 August 2013 the Oberlandesgericht Düsseldorf delivered its judgement today, and the outcome was that Xella’s appeal was rejected and Xella was refused a right to appeal the judgement. In consequence, the prohibition decision by the Bundeskartellamt will stand and a potential merger between Xella and H+H on the German market will be prohibited provided the court’s decision to refuse appeal is not appealed by Xella within one month from service of the judgement.
Quote:
“H+H will continue to execute its existing strategy, which includes pursuing structural opportunities that may arise in the markets”, says Kent Arentoft, Chairman of the Board of Directors.
