Release from Annual General Meeting of Hemtex AB

Hemtex’s Annual General Meeting in Borås today passed the following resolutions, among others:

Adoption of income statements and balance sheets, and of dividend
The income statements and balance sheets were adopted and the Board of Directors’ motion regarding a dividend of SEK 4.85 per share was approved by the Meeting. Monday, September 10, 2007 was determined as the record date for the dividend. The dividend will be paid through VPC AB on Thursday, September 13, 2007.

Resolution on the discharge from personal liability
The Meeting approved the resolution on the discharge of the Board of Directors and the President from personal liability for the 2006/2007 fiscal year.

Director fees
The Meeting resolved that the fees to be paid to Members of the Board would total SEK 1,200,000 for the period extending until the next Annual General Meeting, whereby the Chairman of the Board would receive SEK 300,000 and the other Members of the Board would receive SEK 150,000 each.

It was resolved that the fees to be paid to the Remuneration Committee would total SEK 100,000 for the period extending to the next Annual General Meeting, whereby the Chairman would receive SEK 50,000 and the other two Committee members would receive SEK 25,000 each.

Board Members
Hans Andersson, Ingemar Charleson, Bodil Eriksson and Lars Nilsson were re-elected to the Board. Mats Olsson, Marita Granberg Ramprecht and Kia Orback Pettersson were elected to the Board.

Mats Olsson was elected Chairman of the Board.

Nomination Committee
The Meeting resolved to adopt the principles for the appointment of members of the company’s Nomination Committee and other principles for the Nomination Committee, in accordance with a motion submitted by the Nomination Committee. The adopted principles for the election committee are available on www.hemtex.com.

Resolution regarding guidelines for remuneration to senior executives
The Meeting resolved to adopt guidelines and principles for remuneration and other conditions of employment, in accordance with a motion submitted by the Board of Directors. Remuneration for the Chief Executive Officer and other senior executives shall consist of basic salary, possible variable remuneration, other benefits and pension. Other senior executives are defined as members of the Group’s management group. The total remuneration shall be market based and competitive in the labor market in which the executive concerned is active. The variable remuneration shall have a predetermined ceiling and be connected to the fulfillment of certain financial goals. Resolution regarding an incentive program
The Meeting resolved, in accordance with a motion from the Board of Directors, to approve an incentive program for the management group of the Hemtex Group.
The incentive program entails offering the management group a combination of warrants and employee stock options that entitle them to acquire shares in the Company in accordance with the adopted principles. The complete description of the incentive program is available on www.hemtex.com.
