Hoist Finance resolves on repurchase of own shares

The Board of Directors of Hoist Finance AB (publ) (”Hoist Finance”) has today, by virtue of the authorization granted by the Annual General Meeting held on 10 May 2023, resolved to repurchase own shares for a total amount of no more than SEK 100,000,000.

The purpose of the repurchase programme is to adjust the company’s capital structure and thereby contribute to creating an increased value for Hoist Finance’s shareholders. The intention is that the shares to be repurchased shall be redeemed by resolutions at future general meetings.

The repurchase programme will be carried out in accordance with the EU Market Abuse Regulation (“MAR”) and the Commission Delegated Regulation (EU) 2016/1052 (the “Safe Harbour Regulation”). Acquisitions of shares will be managed by Carnegie Investment Bank AB, who will make its trading decisions regarding the timing of the repurchase of Hoist Finance’s shares independently of Hoist Finance.

The repurchase programme is subject to the following terms:

  • Repurchases may only take place on Nasdaq Stockholm in accordance with Nasdaq Stockholm’s Rulebook for Issuers of Shares (the “Rulebook”), MAR and the Safe Harbour Regulation.

  • Repurchases may be made on one or several occasions during the period from and including 8 February 2024 until the Annual General Meeting on 7 May 2024.

  • Repurchases may only be made at a price per share within the price range (spread) applying on Nasdaq Stockholm from time to time, meaning the spread between the highest purchase price and the lowest selling price prevailing and disseminated by Nasdaq Stockholm from time to time, and in accordance with the restrictions relating to price in the Safe Harbour Regulation.

  • Repurchases may only be made in accordance with the restrictions regarding volume for acquisitions of own shares stated in the Rulebook and in the Safe Harbour Regulation.

  • Repurchases may be made for a total amount of no more than SEK 100,000,000. In accordance with the Swedish Companies Act, acquisitions of own shares may be made of no more than so many shares that Hoist Finance's holding of own shares at any given time amounts to no more than ten (10) per cent of the total number of shares in Hoist Finance.

  • Payment for the shares shall be made in cash.

The total number of shares in Hoist Finance is 89,303,000 as of the date of this press release. Hoist Finance does not hold any own shares as of the time of this press release.
