Implementation of the Hoist Finance Share Investment Program 2024
The Annual General Meeting of Hoist Finance AB (publ) ("Hoist Finance" or the "Company") held on 7 May 2024 resolved, in accordance with the Board of Directors' proposal, to introduce a share investment program for key employees within the Hoist Finance group. The purpose of the program is to ascertain a long-term perspective as well as stability in the management team and among selected key employees in the Company, and to ensure that Hoist Finance's shareholders and its management have aligned incentives.
The Share Investment Program 2024 involves nine key individuals, including the CEO, CFO and CIO. The program has a duration of four years starting from July 2024. Participants must, among more, retain their employment with the Company during the full program duration to benefit. Under the terms of the program, each participant shall make a private investment.
To finance the private investment under the Share Investment Program 2024, some of the senior executives - including the CEO, CFO and CIO - have announced that they intend to sell shares that they already hold in Hoist Finance. Both the sales of existing Hoist Finance shares, and the subscriptions for newly issued Hoist Finance shares which will take place under the program, will be reported after the respective transaction have been completed (PDMR transactions register for transactions by persons discharging managerial responsibilities). All share transactions are expected to take place in the coming weeks.
Through participation in the program, all the senior executives will increase their ownership interests in Hoist Finance.
