Humana AB has resolved to repurchase own shares through repurchase program

Under the authorisation from the Annual General Meeting 2019, the Board of Directors of Humana AB has decided to repurchase own shares on Nasdaq Stockholm for the purpose of enabling the transfer of own shares to participants in a share-based incentive programme to employees that has been running since 2017.

Acquisition of own shares must be made on Nasdaq Stockholm in accordance with Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation) and in accordance with Commission delegated Regulation (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No 596/2014 of the European Parliament and of the Council with regard to regulatory technical standards for the conditions applicable to buy-back programmes and stabilisation measures as well as in accordance with the Nasdaq Stockholm Rule Book for Issuers.

A maximum of 60 000 own shares may be acquired up to a maximum amount of SEK 3 600 000.

The repurchase period is from and including 31 March 2020 up until and including 14 April 2020.

Acquisition of own shares on Nasdaq Stockholm shall be made in cash and at a price within the stock market price interval registered at any given time, such interval being the interval between the highest purchase price and the lowest sales price. However, the price per share shall not exceed the highest of the purchase price of the last independent trade and the highest current independent purchase bid on the trading venue in accordance with Commission delegated Regulation (EU) 2016/1052 of 8 March 2016 supplementing Regulation (EU) No 596/2014 of the European Parliament and of the Council with regard to regulatory technical standards for the conditions applicable to buy-back programmes and stabilisation measures.

The acquisitions will be handled by an investment firm or financial institution that makes its trading decisions regarding Humana's shares independently and without influence from Humana.

Humana currently holds 0 own shares.
