Report from ICA Gruppen’s 2022 Annual General Meeting

ICA Gruppen held its Annual General Meeting on 31 May 2022.

ICA Gruppen’s AGM resolved upon customary AGM resolutions, including resolutions on adoption of the income statements and balance sheets for the parent company and the group, discharge from liability for the members of the Board of Directors and the CEO, election of the Board of Directors and the auditor as well as determination of board members’ and auditor’s fees.

In ICA Gruppen’s interim report for the first quarter of 2022, an intention to merge Murgröna Holding AB (“Murgröna”) into ICA Gruppen AB during 2022 was communicated. Murgröna has through the compulsory buy-out procedure gained advanced vesting of title and owns all shares in ICA Gruppen. ICA Gruppen and Murgröna has today resolved that all assets and liabilities of Murgröna shall pass to ICA Gruppen through a reversed merger by way of absorption. The merger is expected to be executed during the fourth quarter 2022.

ICA Gruppen’s AGM also resolved upon amendments of ICA Gruppen’s Articles of Association and a reversed share split of ICA Gruppen’s shares as a preparatory action for the merger.
