Cleantech Invest share issue subscribed more than 3.5 times

Cleantech Invest Plc (“Cleantech Invest” or the “Company”) has carried out an issuance of class A shares with additional options (the “Offering”), during the period between 19 February and 7 March 2016. The share issue was carried out in order to broaden the Company’s ownership base and increase awareness of the Company in Sweden. The Offering of 1,075,270 new class A shares (approximately 10 MSEK) has been subscribed 363% with subscriptions coming in from 1233 investors, approximately doubling the number of shareholders in the Company. The Board of Directors has therefore decided to exercise the additional share allotment of 215,050 new class A shares increasing the share issue size to approximately 12 MSEK in total.

On 10 March 2016, the Board of Directors of Cleantech Invest resolved on the allocation of shares and to approve the subscriptions received in the Offering according to the allocation. The acceptance of subscriptions is conditional to payment of the allocated shares on 16 March 2016 at the latest. As a result of the Offering, the number of shares in Cleantech Invest will increase by 1,290,320. After the Offering the total number of shares will amount to 20,634,027. If also all the options issued in connection with the Offering will be used for subscription of shares, the number of Company’s shares will increase with additional 645,160.

Cleantech Invest will receive approximately 12 MSEK in issue proceeds (before transaction costs associated with the Offering to be paid by the Company). An additional up to approximately 8.4 MSEK can be received in November 2016 if the options issued in connection with the Offering are exercised.

The shares subscribed for in the Offering are expected to be registered with the Finnish Trade Register on 29 March 2016 and will be delivered to subscribers through the book-entry system maintained by Euroclear Sweden AB approximately during week 14, 2016. The Company will apply for secondary listing of its class A shares on First North Sweden. Trading in the class A shares is expected to commence approximately on 6 April 2016 under ticker “CLEANT”.

Options subscribed for in the Offering will be delivered to subscribers through the book-entry system maintained by Euroclear Sweden AB approximately during week 14, 2016. The Company will apply for listing of the options subscribed for in the Offering on First North Sweden. Trading in the options is expected to commence on 6 April 2016 under ticker “CLEANT TO1A”.
