NCC’s Annual General Meeting to be held on April 4

The Annual General Meeting of NCC AB shareholders will be held on April 4, 2005 at the Grand Hotel in Stockholm. NCC’s Board of Directors proposes that a dividend of SEK 4.50 per share plus an extraordinary dividend of SEK 10.00 per share be paid.

The Nomination Committee elected by the Annual General Meeting proposes the re-election of Antonia Ax:son Johnson, Tomas Billing, Alf Göransson, Ulf Holmlund, Fredrik Lundberg, Anders Rydin and Marcus Storch. It is proposed that Tomas Billing be elected Chairman of the Board and Fredrik Lundberg Deputy Chairman of the Board. Shareholders representing more than 50 percent of the total voting rights in NCC propose that Viveca Ax:son Johnson, Johan Björkman and Ulf Lundahl be reelected and that Mats Lagerqvist be newly elected as members of the Nomination Committee. It is proposed that Johan Björkman be chairman of the Committee. Mats Lagerqvist is President and Chief Executive Officer of Robur AB. NCC’s Board of Directors proposes that the Annual General Meeting approve a dividend of SEK 4.50 per share for the 2004 fiscal year plus an extraordinary dividend of SEK 10.00 per share. The proposed record date for dividends is Thursday, April 7, 2005. If the Annual General Meeting approves the Board’s proposal, it is estimated that dividend payments, via VPC, will commence on April 12, 2005. It is also proposed that director fees will total SEK 2,200,000, with the Chairman of the Board receiving SEK 500,000, the Deputy Chairman of the Board receiving SEK 400,000 and each other member who is not employed by the Company receiving SEK 325,000. It is also proposed that the Board be authorized to repurchase the Company’s shares on one or more occasions up to the next Annual General Meeting. The Annual General Meeting will be held at the Grand Hotel, Vinterträdgården, Royals Entrance, Stallgatan in Stockholm.
