Resolutions at NCC's Annual General Meeting on April 7, 2004 NCC's Annual General Meeting resolved to pay a cash dividend of SEK 2.75 per share, to transfer SEK 3.3 billion from restricted to unrestricted shareholders' equity and to authorize the Board of Directors to repurchase NCC shares. Ulf Holmlund was elected new Member of the Board. NCC's Annual General Meeting on Wednesday approved the Board of Directors' proposal to pay a cash dividend of SEK 2.75 per share per share for the 2003 fiscal year. The dividends are expected to be sent to shareholders via VPC (securities register center) beginning on April 19, 2004. The Meeting voted in favor of the Board's motion to amend the Articles of Association and to reduce the share capital and legal reserves, in order to facilitate an adjustment of the Company's capital structure. As a result of the changes, SEK 3.3 billion can be transferred from restricted to unrestricted shareholders' equity during 2004. The Meeting also decided, in line with a motion from the Board, to authorize the Board to repurchase a maximum of 10 percent of the total number of NCC shares prior to the next Annual General Meeting. The shares are to be purchased on Stockholmsbörsen at prices within the registered span of share prices at each particular purchase occasion. The reason for the repurchases is to provide the Board with an opportunity, prior to the next Annual General Meeting, to adjust the Company's capital structure. The company has previously repurchased 5.6 percent of the total number of issued shares. With the support of the authorization, the company will be able to repurchase a further 4.4 percent. The Meeting re-elected Johan Björkman (chairman), Viveca Ax:son Johnson and Erik Åsbrink to the Nomination Committee. Ulf Lundahl, Deputy President of L E Lundbergföretagen AB, was elected new member of the Nomination Committee. In accordance with a motion from the Nomination Committee, the Meeting re-elected Antonia Ax:son Johnson, Tomas Billing, Alf Göransson, Fredrik Lundberg, Anders Rydin and Marcus Storch be reelected and newly elected Ulf Holmlund to the Board. Ulf Holmlund was previously President and Chief Executive Officer of Ljungberggruppen AB and is currently a member of this company's board. At the statutory meeting of the Board of Directors held directly after the Annual General Meeting, Tomas Billing was re-elected Chairman and Fredrik Lundberg was re-elected Deputy Chairman of the Board.
